EcoDataCenter reports SEK 1bn green-bond issue; settlement is still pending

EcoDC Holding announced a SEK 1,000m four-year senior unsecured green-bond issue on 1 October. Its 2 October tender result records SEK 308.75m in valid instructions to repurchase 2024 bonds, with settlement expected around 6 October subject to receipt of the new issue proceeds.

EcoDC Holding AB said on 1 October that it had successfully issued SEK 1,000 million of new senior unsecured green bonds with a four-year tenor. The company said settlement was expected on or about 6 October. As of this article’s publication on 5 October, the settlement date was still in the future; an announced issue and expected settlement should not be reported as cash already received.

The company announced a floating coupon of three-month STIBOR plus 5.00 percentage points a year. The new bonds were issued under a SEK 2,000 million framework. EcoDataCenter said it intended to seek admission to Nasdaq Stockholm’s sustainable bond list within 12 months and to Nasdaq Transfer Market within 60 days, with an ambition of 30 days for the latter. Those are stated listing intentions, not evidence that admission has already occurred.

On 2 October the company reported valid tender instructions covering SEK 308.75 million nominal amount of its 2024 senior unsecured bonds. It said it intended to accept those instructions at 101.425 per cent of nominal amount plus accrued interest, subject to successful settlement of the new issue and receipt of its proceeds. The earlier notice also made the planned early redemption of remaining 2024 bonds conditional on the new issue being successfully settled. ABG Sundal Collier, a joint bookrunner, separately described the proceeds as intended for refinancing the 2024 bonds and general corporate purposes under the issuer’s Green Bond Framework.

The refinancing is relevant to investors and counterparties assessing a Swedish operator’s financing. It does not identify a particular Swedish campus as the recipient of funds, publish project-level capital expenditure, or change a site’s planning, permit, construction or grid-connection status. A corporate bond framework and a campus budget are different records.

For a diligence file, the next check is whether settlement completed and what the issuer later reports about allocation under its Green Bond Framework. Confirm the legal issuer, the amount actually redeemed, any remaining debt and the final listing notice. Then assess project-specific funding separately from the site’s land rights, permits, network-owner correspondence and construction evidence. Nasdaq’s 2025 notice identifies the 2024 bonds by ISIN SE0023111695 and records their move to its Corporate Bonds market; it does not verify settlement of the new issue.

Why it matters

A large refinancing can inform counterparty and capital-structure diligence, but it does not establish how much capital is committed to any Swedish site or prove new capacity.

What remains unknown

At publication, settlement of the new bonds and tender offer was pending. The notices do not give a campus-level allocation, later green-bond allocation report, or any new permit, grid agreement or construction milestone.
